At all times during Group’s use of the Function Space, Group shall maintain: Statutory workers’ compensation insurance, in accordance with the laws of the State of Nevada; Employers’ liability insurance with limits of at least one million ($1,000,000.00) per accident covering all of Group’s personnel performing work at Hotel property in connection with the Agreement; commercial general liability insurance with contractual indemnity coverage and combined single limits in the minimum amount of one million dollars ($1,000,000.00) per occurrence for personal injury and property damage; and commercial automobile liability insurance with coverage for owned, non-owned, rented and borrowed automobiles with a combined single limit of not less than one million dollars ($1,000,000.00). The insurance provided by Group shall name Hotel, its parent company, subsidiaries and affiliates as additional insureds, as follows:
“Tropicana Las Vegas Hotel and Casino, Inc., Tropicana Las Vegas Intermediate Holdings, Inc., Tropicana Las Vegas, Inc, Trilliant Management, LP, Hilton Worldwide Inc, and any other party whom the Tropicana is required by contract, permit, and / or Agreement to name as an Additional Insured; are Additional Insureds on a primary noncontributory basis, including coverage for their sole negligence, for ongoing and completed operations. Each of the respective Additional Insureds’ Owners, Shareholders, Partners, Members, Representatives, and Agents are also included as Additional Insureds”.
All insurance shall be issued by a company with a current A M Best Company rating of at least A: VIII and may be obtained through one or a combination of insurance policies.
No later than fourteen (14) calendar days prior to Group’s function, Group shall deliver such Certificates of Insurance to Tropicana Convention Services Department, 3801 Las Vegas Boulevard South, Las Vegas, Nevada 89109. The consent of Hotel to the insurance and limits insured, as shown herein, shall not be considered as a limitation of Group’s liability under this Agreement nor an Agreement by Hotel to assume liability in excess of said amounts or for risks not insured against.
Group will require that any contractor, subcontractor and/or vendor will meet the above insurance and additional insured requirements and will obtain the appropriate Insurance Certificates, which may be reviewed by Hotel, at its request. Should Group fail to collect this information, Group agrees to Indemnify Hotel against any claims or actions arising from the actions of its contractors; subcontractors or vendors.
